End User License Agreement

1. Acceptance of Terms

By accessing or using Teamplanner, you (“User”, “You”) agree to be bound by this End User License Agreement (“Agreement”). If you do not agree, you must not use the Service.

Teamplanner grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes, subject to the terms of this Agreement.

3. Restrictions

5. Payment & Subscriptions

• Access to certain features of the Service requires a paid subscription.
• All fees are payable in accordance with the pricing published on https://app.theteamplanner.com.
• Subscriptions automatically renew unless cancelled prior to the renewal date.
• All payments are non-refundable except as required by applicable law.

6. Data & Privacy

• Your use of the Service is also governed by our Privacy Policy.
• You retain ownership of the data you input into the Service.
• By using the Service, you grant Teamplanner a license to process, store, and use your data solely for providing and improving the Service.

7. Intellectual Property

• All rights, title, and interest in and to the Service (including software, trademarks, logos, and content) remain with Smashed Crab Studio Ltd.
• Except as expressly permitted in this Agreement, no license or rights are granted to you.

8. Availability & Support

• Teamplanner will use reasonable efforts to maintain uptime but does not guarantee uninterrupted availability.
• Support is provided as described on our website.

9. Termination

• Teamplanner may suspend or terminate your access if you breach this Agreement.
• You may stop using the Service at any time by cancelling your subscription.
• Upon termination, your license to use the Service ends immediately.

10. Disclaimer of Warranties

The Service is provided “AS IS” and “AS AVAILABLE.” Teamplanner disclaims all warranties, express or implied, including fitness for a particular purpose, merchantability, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, Teamplanner shall not be liable for any indirect, incidental, special, or consequential damages, including loss of data, profits, or business opportunities, arising out of your use of the Service.

12. Indemnification

You agree to indemnify and hold harmless Teamplanner from any claims, damages, or expenses arising from your use of the Service, your data, or your breach of this Agreement.

13. Changes to Agreement

Teamplanner reserves the right to update or modify this Agreement at any time. Continued use of the Service after changes are posted constitutes acceptance of the revised Agreement.

14. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
